Acceptance of Terms of Use
The User agrees to be bound by these Terms of Use by visiting,
browsing, or displaying any part of this Website ("the Site"),
whether that part may be accessed by the general public or
by select Users only. Strategic HR Services, Inc. ("Strategic
HR") reserves the right to change these Terms of Use without
notification and at its sole discretion, including the addition
of terms that will be incorporated by reference into these
stated Terms.
The User hereby acknowledges that the entirety of the Terms
of Use shall apply to all content, merchandise, and services
available through the Site.

The Content is provided for the User's personal and commercial

of use, reference to, or reliance on any information contained
within the Site. While the information contained is periodically
updated, additional facts and information or future developments
may affect the subjects addressed and no guarantee is given
that the information provided in or by the Site is correct,
complete, and up-to-date.

or agents, disclaim any liability that results from mistakes,
omissions, interruptions, deletion of files or e-mail, errors,
defects, viruses, delays in operation or transmission, or

unauthorized access to Strategic HR's records, products, or

User Submissions
The User may not upload, post, or distribute on the Site
any Content that is protected by copyright, or other proprietary
right, without obtaining the permission of the owner of the
copyright or other proprietary right. Any copyrighted information
or other proprietary Content distributed with the consent
of the owner on the Site should contain a phrase such as,
"Copyright, owned by [name of owner]; used by permission."

By submitting Content to any User-submit areas on the Site,
including, but not limited to, user forums and chat areas,
the User automatically grants, or warrants, that the owner
of the submitted Content has expressly granted Strategic HR
the royalty-free, perpetual, irrevocable, nonexclusive right
and license to use, reproduce, publish, translate, sublicense,
copy, and distribute the submitted Content in whole or in
part worldwide for both commercial and noncommercial use by
Strategic HR.
Strategic HR neither endorses nor is responsible for the
accuracy or reliability of any advice, opinion, or statement
submitted by any User. Strategic HR, and any of its officers,
directors, employees, or agents, hereby disclaims any liability
for damages or harm incurred in reliance of any Content submitted
by any User. Strategic HR does not provide any guarantee or
warranty of merchantability or fitness or otherwise for such

The User agrees to use the Site only for lawful purposes.
The User is prohibited from posting or submitting any Content
that is unlawful, harmful, threatening, abusive, harassing,
defamatory, vulgar, obscene, sexually explicit, profane, hateful,
racially, ethnically or otherwise objectionable, including,
but not limited to, any Content that encourages conduct that
would constitute a criminal offense, give rise to civil liability,
or otherwise violate any applicable local, state, federal,
or international law. If Strategic HR becomes aware of such
Content submitted by a User, Strategic HR may conduct an investigation
into the allegation and possibly revoke a User's access to
the Site at its sole discretion, without prior notice to that
User.
Third Party Content
At times the User may purchase or use Content from third
party content providers through the Site. Strategic HR does
not provide any guarantee or warranty of merchantability or
fitness for such Content. All matters concerning the merchandise
or services offered or provided by a party other than Strategic
HR through the Site, including, but not limited to, purchase
terms, payment terms, warranties, guarantees, maintenance,
and delivery are solely between the User and that third party
content provider. By use of the Site for the purchase or use
of Content provided to a third party, the User agrees to waive
any claim of liability against Strategic HR for damages or
harm, direct or indirect, arising from or related to the purchase
and use of such Content, regardless of whether Strategic HR
received revenue or remuneration from the transaction occurring
between the User and the third party content provider.
Applicable Law
The Site is created and controlled by Strategic HR in the
State of California. As such, the laws of California will
govern these terms of use, disclaimers, terms and conditions,
or any litigation arising from the Content of the Site. The
User hereby irrevocably and unconditionally consents to submit
to the jurisdiction of the courts of Orange County of the
State of California or the courts of the United States of
America located in the Southern District of the State of California
for any litigation arising out of or related to the use of
any Content obtained from the Site, waives any objection to
venue in the above stated courts, and agrees not to plead
or claim in any court that litigation in the above stated
courts has been brought in an inconvenient forum.
Severability
The provisions of the Terms of Use are intended to be severable.
If for any reason any provision of this Terms of Use is held
invalid or unenforceable in whole or in part, such a holding
shall affect only that provision without in any manner effecting
the validity or enforceability of the remaining provisions.
